PLATFORM TERMS OF SERVICE & USER AGREEMENT

This Terms of Service Agreement (the "Agreement") is a legally binding contract between you ("User", "Artist", or "Mixer") and Music Mix Market ("Platform", "we", "us"). By registering an account, uploading audio files, or downloading materials from the website, you agree to be bound by this Agreement.

1. DEFINITIONS

"Stems / Multitracks" means the individual audio tracks or groups of tracks of an unreleased musical work uploaded by an Artist.

"Preview Section" means a 30–40 second segment of a Project, selected by the Artist during upload, which represents the section Mixers are licensed to mix for their Preview Mix submission.

"Preview Stems" means the Stems trimmed to the Preview Section and made available to Mixers during the submission phase of a Project.

"Full Stems" means the complete, uncut Stems for the entire musical work, made available exclusively to the Chosen Mixer after selection.

"Preview Mix" means a short stereo audio file, approximately 30–40 seconds in length, created by a Mixer from the Preview Stems and submitted to the Platform for evaluation by the Artist.

"Full Mix" means the completed, full-length stereo audio file created by the Chosen Mixer from the Full Stems, uploaded to the Platform for evaluation, revision and potential purchase.

"Project" means the active listing created by an Artist, containing Stems, a Preview Section, reference tracks, a budget and a deadline, available for Mixers to submit Preview Mixes against.

"Chosen Mixer" means the Mixer selected by the Artist to proceed from the preview stage to the full mix and revision stage of a Project.

"Finished Mix" means the Full Mix in its final approved form, delivered as a WAV file to the Artist upon successful payment.

2. USER VERIFICATION & ELIGIBILITY

2.1 Role Selection

Upon registration, Users must declare their role as either an Artist or a Mixer. This role determines the User's access rights, dashboard, verification requirements and obligations under this Agreement.

2.2 Mixer Verification via Stripe

To access, stream, or download any Stems or Project files, Users registering as Mixers must complete identity verification through Stripe Connect. Mixers must provide accurate personal identification and link a valid bank account capable of receiving payments. Anonymous or unverified accounts are strictly prohibited from downloading audio assets of any kind.

2.3 ID Verification Tier

Artists may restrict access to their Project to Mixers who have completed optional government-issued ID verification, in addition to standard Stripe verification. Mixers who have not completed ID verification will not be able to view or access Projects marked as "ID-verified only."

2.4 Email Verification

All Users must verify their email address before they may upload songs, download stems or submit mixes. Unverified accounts have read-only access to public pages.

3. ARTIST INTELLECTUAL PROPERTY & LIMITED LICENSE

3.1 Ownership

The Artist retains 100% of all copyrights, master rights, publishing rights, and intellectual property in the uploaded Stems and the underlying musical composition at all times. No Mixer acquires any ownership rights whatsoever at any stage of the process.

3.2 Limited Conditional License to Mixers — Preview Stage

By creating a Project and uploading Stems, the Artist grants verified Mixers a limited, non-exclusive, revocable, non-transferable, royalty-free license to download the Preview Stems and create a Preview Mix solely and exclusively for the purpose of submitting that Preview Mix back to the Platform for the Artist's evaluation. This license is strictly limited to the Preview Section. Mixers are not licensed to access, use or reference any portion of the Stems outside of the Preview Section at this stage.

3.3 Limited Conditional License to Chosen Mixer — Full Mix Stage

Upon selection as the Chosen Mixer, the Artist grants that specific Mixer a limited, non-exclusive, revocable, non-transferable, royalty-free license to download the Full Stems and create a Full Mix solely and exclusively for the purpose of delivering a Finished Mix to the Artist through the Platform. This license is granted only to the Chosen Mixer and to no other party.

3.4 Duration and Termination of License

Both licenses described in 3.2 and 3.3 terminate immediately upon: closure or deletion of the Project by the Artist; expiry of the Project deadline with no selection made; suspension of the Mixer's account; or completion of the purchase transaction, at which point the license is superseded by the rights transfer described in Section 5.3.

3.5 Destruction of Files

Upon termination of either license, all downloaded copies of Stems and Preview Stems held by any Mixer must be permanently deleted without delay.

4. MIXER OBLIGATIONS & CONFIDENTIALITY (ANTI-LEAK)

4.1 NDA Acceptance

Before downloading Preview Stems for any Project, the Mixer must accept a per-Project Non-Disclosure Agreement presented by the Platform. Acceptance is recorded in the Platform's database with a timestamp and constitutes a binding legal obligation.

4.2 Strict Confidentiality

All Stems, Preview Stems, Full Stems, Preview Mixes, Full Mixes and any unreleased audio materials accessed through the Platform are strictly confidential. The Mixer shall not distribute, share, leak, upload, transmit, or exploit any such materials on any external platform (including but not limited to YouTube, TikTok, SoundCloud, Instagram, or personal websites) without explicit written consent from the Artist.

4.3 Prohibition on AI-Assisted Submission Without Disclosure

Mixers are prohibited from submitting Preview Mixes or Full Mixes that were produced entirely or predominantly by automated AI mixing tools without disclosing this to the Artist. Submissions must represent the Mixer's own creative and technical work. Violation of this clause is grounds for immediate account suspension.

4.4 Liquidated Damages (The Leak Penalty)

The Mixer acknowledges that unauthorized distribution or leaking of an Artist's unreleased material causes severe, irreparable commercial and artistic harm. In the event that a Mixer leaks, distributes, or makes available any Stems, Preview Stems, Full Stems or any unsold Mix outside of the Platform, the Mixer shall be automatically liable to pay $5,000 USD (Five Thousand United States Dollars) per incident to the Artist as liquidated damages, plus any legal fees incurred to enforce this provision.

5. SUBMISSION, EVALUATION, REVISION AND RIGHTS TRANSFER

5.1 Preview Mix Submission

Mixers may submit one Preview Mix per Project. The Preview Mix must be approximately 30–40 seconds in length and must correspond to the Preview Section designated by the Artist. Submissions that do not meet the length requirement will be automatically rejected. The Mixer may not submit more than one Preview Mix per Project.

5.2 Preview Evaluation by Artist

By submitting a Preview Mix, the Mixer grants the Artist a free, non-exclusive, non-transferable license to stream and evaluate the Preview Mix through the Platform's built-in audio player. The Artist may not download any Preview Mix. The Artist is under no obligation to purchase any Preview Mix or select any Mixer.

5.3 Budget and Pricing

The Artist sets a fixed budget for their Project during upload, selecting from the Platform's available price points ($10, $20, $30, $50, $100 or $200). This budget represents the amount the Artist will pay to the Chosen Mixer upon successful purchase of the Finished Mix. Mixers are shown the Artist's set budget before choosing to submit a Preview Mix. By submitting, the Mixer agrees to deliver the Finished Mix at the Artist's set budget price if selected.

5.4 Selection of Chosen Mixer

The Artist may select one Mixer from among those who submitted Preview Mixes. Upon selection, all other Mixers are notified that their submissions were not chosen. The Artist may also decline all submissions, in which case no payment obligation arises. If the Artist declines all submissions, the Artist is strongly encouraged but not required to provide a written reason.

5.5 Full Mix Delivery and Revision

Upon selection, the Chosen Mixer gains access to the Full Stems and is required to deliver a complete Full Mix through the Platform. The Artist may request revisions through the Platform's built-in revision and comment system. The revision process continues until the Artist is satisfied or elects to terminate the Project. There is no fixed limit on revision rounds, but both parties are expected to engage in good faith.

5.6 Evaluation of Full Mix — MP3 Only

The Artist may stream the Full Mix as an MP3 file through the Platform's audio player at no cost for evaluation purposes. The WAV file of the Finished Mix is held by the Platform and is not accessible to the Artist until payment is completed.

5.7 Transfer of Rights upon Purchase

If the Artist elects to purchase the Finished Mix and payment is successfully processed, the Artist acquires exclusive ownership of the final WAV audio file (the Finished Mix). The Artist does not acquire the Mixer's session or project files (e.g. Pro Tools, Logic sessions).

No Future Royalties: The purchase is a one-time flat-fee transaction equivalent to a work-for-hire arrangement for the mixing service. The Mixer explicitly waives all claims to future royalties, performance rights, streaming residuals or publishing shares arising from the song.

5.8 Unsold Mixes and Portfolio Rights

If the Artist does not purchase the Finished Mix, the Mixer retains no rights to exploit, release, publish or sell the Full Mix or any portion of it to any third party. The Mixer may not use any unsold mix in a public portfolio or showreel without obtaining explicit written permission from the Artist.

6. FEES, PLATFORM REVENUE AND ANTI-CIRCUMVENTION

6.1 Platform Fee

The Platform charges a transaction fee of 2% on the total purchase price of any successfully sold Finished Mix. This fee is automatically deducted at the time of payment processing via Stripe and is non-refundable.

6.2 Mixer Payouts

The remaining balance after the Platform fee is transferred to the Chosen Mixer's connected Stripe account according to Stripe's standard payout schedule. The Platform is not responsible for delays caused by Stripe or the Mixer's banking institution.

6.3 No Refunds

All purchases are final. The Artist's ability to stream the Full Mix in full before payment constitutes sufficient opportunity to evaluate the Finished Mix prior to purchase. No refunds will be issued after payment is completed.

6.4 Anti-Circumvention (No Off-Platform Deals)

Users are strictly prohibited from bypassing the Platform to conduct transactions privately. Artists and Mixers shall not exchange external contact information (emails, phone numbers, social media handles) in Project descriptions, comment sections or the Platform's messaging system with the intent to arrange payment or delivery of any mix outside of the Platform.

Penalty: Any attempt to circumvent the Platform's payment system will result in immediate and permanent termination of all involved User accounts and forfeiture of any pending balances.

7. ACCOUNT SUSPENSION AND PROJECT HANDLING

7.1 Grounds for Suspension

The Platform reserves the right to suspend or permanently terminate any User account for: violation of the NDA or confidentiality obligations in Section 4; submission of AI-generated work without disclosure under Section 4.3; repeated inactivity or failure to make decisions within Project deadlines; attempts to circumvent the Platform's payment system under Section 6.4; or any other conduct that materially harms other Users or the Platform.

7.2 Active Projects on Suspension

If a Mixer's account is suspended while they are the Chosen Mixer on an active Project, the Project will be flagged for admin review. The Artist will be notified and the Platform will take reasonable steps to resolve the situation, which may include reopening the selection process.

If an Artist's account is suspended while a Project is active, all Mixers who have downloaded stems for that Project will be notified and the Project will be closed immediately.

8. DATA, PRIVACY AND USER RIGHTS

8.1 Data Deletion

Users may request deletion of their account and associated personal data at any time through the account settings page. Deletion requests will be processed within 30 days. Note that certain records may be retained where required by law or for the resolution of active disputes.

8.2 Data Export

Users may request an export of their personal data and project history at any time through the account settings page.

8.3 Privacy Policy

The Platform's handling of personal data, payment data and audio files is governed by the Platform's Privacy Policy, which forms part of this Agreement by reference.

9. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with this Agreement shall be settled by the public courts of Sweden, with the District Court of Stockholm (Stockholms tingsrätt) as the court of first instance.
